Terms and Conditions of Service
1. Company Overview
MedLance provides specialized consultancy for the medical affairs and medico-marketing sectors. Our services include, but are not limited to:
- Scientific and Medical Libraries Management
- Market Insights and Advisory Boards
- Medical Communication Management
- Strategic Medical and Brand Planning
- Medical Events and CME Accreditation
- CRM and Veeva Workflow Management
These Terms and Conditions apply to all business engagements unless superseded by a specific written agreement.
2. Scope of Services
All services provided by MedLance are governed by detailed project agreements, proposals, or purchase orders (“Orders”) mutually agreed upon by both parties. Specific deliverables, timelines, and fees are defined within these Orders.
3. Client Obligations
The Client agrees to collaborate by:
- Supplying accurate and complete information required for project success.
- Providing timely approvals and feedback on deliverables.
- Honoring agreed-upon schedules for payments and material provisions.
- Upholding all intellectual property and confidentiality clauses.
4. Fees and Payment
- Service fees are determined by the project scope and are outlined in the Order.
- Invoices must be settled according to the payment terms specified in the Order.
- MedLance reserves the right to charge interest on late payments or suspend services until payment is received.
- Delivery of final work product is contingent upon settlement of all outstanding invoices.
5. Confidentiality
Both MedLance and the Client commit to protecting any proprietary, sensitive, or business-critical information exchanged during the engagement. This duty of confidentiality extends for a period of five (5) years following the termination of services, or as otherwise required by law.
6. Intellectual Property
Unless explicitly stated otherwise in an Order:
- MedLance retains ownership of all pre-existing intellectual property and proprietary methodologies used in its services.
- Upon receipt of full payment, ownership of the final, client-specific deliverables is transferred to the Client. This excludes third-party assets or MedLance's reusable tools.
- The Client may not reproduce, resell, or distribute project deliverables without prior written consent from MedLance.
7. Data Protection
MedLance adheres to applicable data protection laws, including GDPR. The handling of personal data is detailed in our Privacy Policy.
8. Ethical Conduct
MedLance operates with a strict zero-tolerance policy towards bribery and corruption. We require all clients, partners, and suppliers to adhere to the highest standards of ethical conduct and comply with all relevant anti-bribery laws.
9. Limitation of Liability
MedLance will not be liable for:
- Any indirect, incidental, or consequential damages.
- Project delays resulting from force majeure events, third-party failures, or client-side dependencies.
- Any claims that exceed the total fees paid for the specific Order in dispute.
10. Force Majeure
Neither party will be held responsible for any failure or delay in performance due to circumstances beyond its reasonable control, such as natural disasters, public health crises, civil unrest, or governmental actions.
11. Termination of Service
An agreement may be terminated by either party with written notice if the other party:
- Commits a material breach of the agreement and does not remedy it within a 14-day period.
- Enters insolvency or ceases its business operations.
Upon termination, MedLance is entitled to payment for all work completed and expenses incurred up to the termination date.
12. Amendments
MedLance may update these Terms and Conditions periodically. The most current version will be posted on our website. Continuing to engage our services after updates are posted constitutes acceptance of the new terms.
